1. What these terms cover

These terms govern your use of Synclair, the online service at synclair.app, and any subscription you take out with us.

They apply to you as a consumer. You accept them when you create your account and again when you take out a subscription. They are available at any time on synclair.app.

2. Who we are

Synclair is operated by Hamvil Capital Limited, a company registered in England and Wales under company number 13062375, whose registered office is at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom.

You can reach us at contact@synclair.app or on +44 20 4514 1240. We answer at that address, and it is the address to use for anything in these terms that asks you to contact us.

3. What Synclair does

Synclair is online software. You upload the service charge or estate charge documents for your property. The service breaks the charges down, compares them against published reference data, keeps a record of the points you raise, and helps you draft a letter to your managing agent or landlord.

Synclair uses artificial intelligence to read your documents and to draft letters. You check everything before anything is sent.

Synclair is an information and organisation tool. It is not a firm of solicitors and not a managing agent, and nothing it produces is legal advice.

Every letter the service produces is sent by you, in your name, and is your responsibility.

The service works from the documents you upload and from published data. Where a comparison is made, the source is named in the service so you can check it.

4. Your account

You need an account and a working email address to use the service. You are responsible for the accuracy of what you tell us and for keeping your login details to yourself.

An account is personal to you. You can register one property or several. Each subscription covers one named property.

5. Your free period

The service is free for three months. Those three months start when your first analysis is ready — not when you register — because no analysis can be produced until you have uploaded a document. The dates appear in your account as soon as they exist.

We do not ask for card details when you register and nothing is taken during the free period. The free period does not turn into a paid subscription on its own.

When the three months end you keep read-only access to your documents and to everything already produced for you. Uploading anything new, running a new analysis or producing a new letter needs a subscription.

6. Price and payment

A subscription costs £39 a year for each property. The price that applies is the one shown to you when you subscribe.

Payment is by card, online. Payments are taken by Stripe Payments Europe, Limited. Your card details go straight to them and are never held by us.

The contract is made at the moment you place your order using the payment button on the checkout page. We will send you confirmation on a durable medium.

7. Ending your subscription

You can end your subscription at any time, free of charge, using the online cancellation control that appears on every page of synclair.app. You do not need to log in to use it.

Once you have told us, we will confirm we have received it and tell you, on a durable medium and within a reasonable time, the date your contract ends and what happens then.

Your access stays exactly as it is until that date. From then on you keep read-only access to your documents and to everything already produced for you, and no new uploads, analyses or letters are possible.

8. How long your subscription lasts, and renewal

A subscription runs for one year. It then renews automatically for further periods of one year, at the price then in force, taken from the payment method you gave us.

We will email you before each renewal, in good time for you to decide, telling you the date the renewal will take effect and the price. You can stop a renewal at any time by ending your subscription under clause 7.

9. Your right to cancel within 14 days

You have 14 days from the day the contract is made to cancel it, without giving a reason. This is your statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and it is separate from, and additional to, clause 7.

To cancel, tell us clearly that you have decided to cancel — an email to contact@synclair.app saying so is enough. You may use the model cancellation form at Annex A, but you do not have to. To meet the deadline it is enough that you send your message before the 14 days are up.

You can also electronically fill in and submit the model cancellation form or any other clear statement on our website synclair.app/withdraw. If you use this option, we will communicate to you an acknowledgement of receipt of such a cancellation on a durable medium (e.g. by e-mail) without delay.

If you asked us expressly to start providing the service during those 14 days, you keep your right to cancel. If you then cancel, you pay only for the days of paid access you have actually had — and nothing at all if your paid access has not yet started.

We refund you no later than 14 days after the day we are told of your decision, using the same payment method you used, at no cost to you.

10. What we ask of you

You agree to use the service only for property you own or part-own, to upload only documents you are entitled to hold, and not to interfere with how the service runs.

You are the sole author and sole signatory of any letter you send. You check it before it goes, and you do not put the names of private individuals in it.

If you breach these terms seriously, we may suspend or end your access after telling you.

11. Your personal data

How we handle your personal data is set out in our privacy notice at synclair.app/privacy, which forms part of these terms.

You have rights of access, rectification, erasure, restriction, objection and portability under the UK GDPR and the Data Protection Act 2018. To exercise them, write to contact@synclair.app.

12. Intellectual property

The service, its software, its presentation and its content are protected and remain the property of Hamvil Capital Limited.

You keep full ownership of the documents you upload and the letters you send. You give us only the right to process those documents in order to provide the service to you.

13. Our responsibility to you

We will provide the service with reasonable care and skill, as the Consumer Rights Act 2015 requires.

The service works from the documents you upload and from published reference data. We do not guarantee that the documents you upload are accurate or complete, and a comparison against a published figure does not by itself establish that a charge is wrong.

Nothing in these terms limits or excludes your rights under the Consumer Rights Act 2015, and nothing limits or excludes our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to that, we are not liable for loss that was not foreseeable at the time the contract was made.

14. Complaints

If something has gone wrong, write to contact@synclair.app. We will acknowledge your complaint and respond as quickly as we reasonably can.

We do not take part in a certified alternative dispute resolution scheme in the United Kingdom, and we are not required to. If we cannot resolve your complaint between us, we will tell you so in writing, and nothing in these terms affects your right to take the matter to court.

15. Governing law and where you can bring a claim

These terms are governed by the law of England and Wales.

Nothing in these terms takes away the protection given to you by the mandatory rules of the country where you habitually live. If you live in Scotland or Northern Ireland, you may bring proceedings in your own courts as well as in England and Wales.
